Introduction to the Fund

Despite the current uncertainty in certain markets, the economic fundamentals in the commercial markets remain strong. The British Homes Group believes that the strength of these fundamentals, combined with the reduced pricing expectation in certain markets, will create an opportunity to purchase properties with higher expected yields and potential for higher capital appreciation than was available just several months ago.

The British Homes Group is therefore pleased to announce the introduction of a newly formed private equity fund as an option/opportunity for its clients. The Fund has been structured to raise equity capital to acquire retail properties with existing occupancy or historical performance indicative of a capacity to generate a stable income stream.

The Fund is focusing certain of its acquisition efforts on properties with high existing occupancies and strong projected operating performance. The Fund also intends, however, to purchase properties which otherwise meet the generalized criteria for purchase but which are offered for sale under "distress" or "pressured" situations if they believe that the properties have the capacity to ultimately generate a stable income stream and provide an attractive risk-adjusted return. Initial debt on acquired properties will be at a conservative ratio to value (approximately 50%-60%) which permits flexibility and safety.

Through its highly experienced management team and long-term local expertise, the Fund is uniquely positioned to take advantage of the existing market and provide investors stable current income and the potential for significant capital gain. The Fund offers its investors preferred returns on invested capital and a substantial allocation of cash available for distribution and capital proceeds. Cumulative returns based on conservative current models are projected at 12% - 15%. Simply stated, its primary goal is to provide investors with the greatest return on their investments in the shortest period of time.
